Credit is extended on the condition that Customer pays each invoice in accordance with its terms (net thirty (30) days). Customer will not delay, withhold, offset, or short-pay any charge because of alleged billing errors or any other dispute with Sycamore Logistics, LLC or its affiliates or subsidiaries; any such dispute must be pursued as a separate claim and does not excuse timely payment. Failure to make timely payment may result in cancellation of any credit extended. Past-due balances accrue a finance charge of two percent (2%) per month (twenty-four percent (24%) per annum), and Customer is responsible for all collection costs, including reasonable attorney's fees, court costs, and collection-agency fees. Customer acknowledges that it is applying for credit with a company whose principal place of business is in Illinois, and agrees that this credit application and any related claim are governed by the laws of the State of Illinois, with venue in the Circuit Court of Ogle County, Illinois. Customer consents to personal and subject-matter jurisdiction in Illinois, waives any argument or claim that Illinois lacks jurisdiction, and agrees to pay Sycamore's attorney's fees and costs arising from any challenge to that jurisdiction. Customer agrees to the Sycamore Logistics, LLC Terms and Conditions of Service, as published at www.sycamorelogistics.net.
